1. Scope of Application and Contracting Parties

These Terms and Conditions apply to all services provided by The Grand Pearl, including Dinner & Show, restaurant reservations, group reservations, private and corporate events, special events, clubbings, After Show Parties, vouchers, online bookings, payment links and any ancillary or additional services connected thereto.

They apply to guests, customers, event organisers, corporate clients, agencies, tour operators, cooperation partners and any other contractual partners, irrespective of whether the booking is made directly with The Grand Pearl, through an electronic booking system, through third-party providers, in writing, by telephone, by email, via social media or in any other form.

By making a reservation, booking, order, accepting an offer or using a service of The Grand Pearl, the contractual partner accepts these Terms and Conditions. Any conflicting or deviating terms of the contractual partner shall not apply unless The Grand Pearl has expressly agreed to them in writing in advance.

2. Reservations, Bookings and Formation of Contract

Reservations, bookings, amendments and cancellations must be made in writing. Email, booking systems, payment links, online reservations, social media messages and other electronic communication satisfy the written form requirement, provided the content and the identity of the sender can be reasonably ascertained.

A reservation or booking becomes binding only upon express written, electronic or system-generated confirmation by The Grand Pearl. Offers, prices, availability and other information displayed on websites, booking systems, social media or other digital channels are non-binding unless expressly confirmed by The Grand Pearl.

Before completing the booking, the contractual partner must carefully review all information, in particular the date, time, number of persons, category, service, price, payment method and any special requests, and immediately correct or notify any errors. Once a booking has been submitted or a payment has been made, changes may be made only with the consent of The Grand Pearl.

The Grand Pearl may refuse, amend or cancel reservations or bookings where false, incomplete or misleading information has been provided, obvious price or system errors have occurred, or there are reasonable doubts as to availability, solvency, safety, feasibility or proper performance, or where the contractual partner has previously breached material obligations.

3. Bookings via Third-Party Providers

Where a booking is made through a third-party provider, platform, agency, tour operator or other distribution partner, the terms of that provider shall apply in addition. However, the performance of the service on site, house rules, safety regulations, age restrictions, seating allocation, cancellation and no-show terms and all operational procedures shall in any event be governed by these Terms and by the instructions of The Grand Pearl.

Any claims against third-party providers, in particular in connection with payment processing, platform fees, technical booking errors or information displayed on third-party websites, shall be asserted directly against the respective provider, unless The Grand Pearl is mandatorily liable by law.

4. Prices, Charges and Payment

Unless expressly stated otherwise, all prices are quoted in euros and include the applicable statutory taxes and charges. The relevant prices are those displayed, offered or individually agreed in writing at the time of booking.

Additional services not expressly included in the booked scope of services, including beverages, upgrades, special requests, extensions, technical services, decorations, additional personnel, external service providers, special cleaning, security services or other ancillary services, shall be charged separately.

If statutory taxes, duties, fees, official charges or other mandatory public levies are amended or newly introduced after conclusion of the contract, The Grand Pearl is entitled to pass on such changes to the contractual partner to the extent permitted by law.

Payment shall be made using the payment methods offered by The Grand Pearl, including credit card, debit card, payment link, bank transfer, online payment or on-site payment. Refunds shall generally be made via the same means of payment used for the original payment, unless otherwise agreed.

Bank charges, chargeback fees, payment service provider costs and expenses resulting from incorrect details, insufficient funds, reversed direct debits or payment issues caused by the contractual partner may be charged to the contractual partner. In the event of default in payment, The Grand Pearl may claim statutory default interest, reminder fees and reasonable costs of collection and legal enforcement.

5. Cancellations, No-Shows and Late Cancellations

Unless otherwise agreed in writing, cancellations are free of charge up to 4 days before the agreed reservation or event date. The time at which the written cancellation is received by The Grand Pearl shall be decisive.

If cancellation occurs within 4 days before the reservation or in the event of a no-show, The Grand Pearl is entitled to charge a cancellation fee of EUR 50.00 per person. This also applies where the reservation was made within that 4-day period and it was therefore apparent at the time of booking that free cancellation was no longer available.

The cancellation fee is a lump-sum compensation for reserved capacity, menu and staffing planning, preparation services, blocked seats, lost alternative use and other reliance-related disadvantages. The Grand Pearl is entitled to charge this fee via stored credit card details, deposits, payment links or other agreed payment methods.

Late arrival, early departure or partial non-use of individual service components shall not give rise to any claim for refund, price reduction, replacement service or subsequent performance, provided that The Grand Pearl has duly made the service available.

6. Exclusion of Statutory Withdrawal Rights for Date-Specific Services

For bookings of Dinner & Show, restaurant services, events, After Show Parties, clubbings, food, beverages and other leisure, catering or event services agreed for a specific date or period, statutory withdrawal rights of consumers shall exist only to the extent mandatorily provided by applicable law.

To the extent that no statutory right of withdrawal applies to such date-specific services under applicable law, changes, cancellations and no-shows shall be governed exclusively by the cancellation and no-show terms accepted at the time of booking.

7. Group Reservations and Deposits

For group reservations of 15 persons or more and for reservations involving particular organisational effort, The Grand Pearl may require a deposit or other payment security. In such cases, the reservation becomes binding only upon timely receipt of the agreed deposit, unless expressly confirmed otherwise.

If an agreed deposit is not paid within the specified period, The Grand Pearl is entitled to release the reserved seats, areas or premises without further obligation and, where applicable, allocate them elsewhere.

For group reservations, the most recently confirmed number of persons shall constitute the guaranteed minimum number and shall form the basis for menu, staffing, room planning and invoicing. Reductions in the number of persons require written confirmation by The Grand Pearl and may, in particular if notified at short notice, be charged in whole or in part.

8. Age Restrictions and Proof of Identity

The Dinner & Show is accessible only to guests aged 16 and above. The After Show Party is reserved exclusively for guests aged 21 and above.

The Grand Pearl is entitled to request valid official photo identification at the entrance. If the required proof of age cannot be provided, or if there are reasonable doubts as to entitlement to admission, entry may be refused without any entitlement to refund, replacement service or damages.

9. Ticket Categories, Seating Allocation and Upgrades

Seating is allocated by The Grand Pearl having regard to the booked category, group size, time of booking, seating plan, availability, safety requirements and the orderly conduct of the event.

The relevant classification of a service shall be determined by the price category established and booked by The Grand Pearl, and not by the subjective assessment of individual guests with regard to view, distance, atmosphere, table position, proximity to the stage or other personal expectations, provided that the essential characteristics of the booked category are maintained.

The Grand Pearl may move guests to a higher category or provide an upgrade at no additional charge. Such upgrade shall not constitute a downgrade and shall not give rise to any claim for refund or to any entitlement to a specific seating position. A downgrade to a lower price category shall generally not take place; should it be unavoidable for exceptional organisational reasons, The Grand Pearl shall offer an appropriate solution.

Specific tables, seats, rows, viewing directions or positions are binding only if expressly confirmed in writing by The Grand Pearl.

10. Menus, Food, Beverages and Special Dietary Requirements

The Grand Pearl reserves the right to amend menu components, dishes, ingredients, side dishes, presentation formats, beverage recommendations and service sequences for seasonal, qualitative, creative, organisational, supply-related or other objective reasons, provided that an overall equivalent service is rendered.

Intolerances, allergies, religious dietary requirements, vegetarian, vegan or other special meal requests must be communicated fully and clearly at the latest at the time of reservation. The Grand Pearl will endeavour to accommodate such requirements where possible, but does not warrant fulfilment of requests communicated late, incompletely or ambiguously.

Bringing food, beverages or other goods from outside is permitted only with the prior written consent of The Grand Pearl. In such cases, corkage, tableware, service, cooling, storage, cleaning or disposal fees may be charged separately.

11. Dinner & Show, Programme Design and Artistic Freedom

The Grand Pearl is entitled to design and adapt the show, artistic programme, dramaturgy, music, choreography, moderation, artists, cast, stage design, lighting, sound, sequence, duration of individual programme elements and the overall artistic and organisational process at its own reasonable discretion.

Changes to cast, programme, sequence, individual show elements or technical implementation shall not give rise to any claim for refund, price reduction or damages, provided that the essential character of the booked event is maintained.

The Grand Pearl may adapt, postpone or cancel events for organisational, technical, artistic, operational, official or safety-related reasons. In the event of cancellation by The Grand Pearl, an appropriate solution, such as an alternative date, rebooking, credit or refund, shall be offered depending on the circumstances, unless force majeure or a separate contractual provision applies.

12. After Show Party

The After Show Party is not automatically included in a Dinner & Show booking unless expressly confirmed in writing as an included service. Its operation, duration, musical design, line-up, opening of individual areas and admission are subject to organisational, safety-related, official, technical and operational requirements.

The Grand Pearl may amend, restrict, postpone or cancel the After Show Party without this giving rise to any claim for refund of the Dinner & Show price, unless the After Show Party has been expressly agreed as a paid and guaranteed component of the specific booking.

Separate admission conditions apply to the After Show Party, including the minimum age of 21, dress code, security checks, capacity limits and the decision of door and security personnel.

13. Punctuality and Late Arrival

The contractual partner and its guests are required to arrive on time at the announced arrival time. In the event of late arrival, The Grand Pearl cannot guarantee full enjoyment of all menu components or all parts of the show.

In order to preserve the orderly running of the event, the artistic performance and consideration for other guests, The Grand Pearl may escort late-arriving guests into the hall only at a suitable time. No claims for refund, price reduction, replacement service or subsequent performance arise from late arrival.

14. House Rules, Conduct, Refusal of Admission and Ban

The Grand Pearl exercises domiciliary rights throughout its premises. Guests must behave respectfully, lawfully and appropriately towards other guests, employees, artists, security personnel, service providers and all other persons present.

The Grand Pearl may refuse admission, remove guests from the venue or cease further performance where guests breach legal provisions, house rules, safety instructions, age restrictions, dress codes, official requirements or standards of appropriate conduct.

This applies in particular to aggressive, insulting, discriminatory, harassing, heavily intoxicated, disruptive, safety-endangering, business-damaging or otherwise unreasonable conduct. In such cases, no claim for refund, replacement service or damages shall exist.

In the event of serious or repeated misconduct, The Grand Pearl may, to the extent permitted by law and in compliance with data protection requirements, exclude the guest concerned from future visits and record an internal ban.

15. Dress Code

The Grand Pearl may recommend or prescribe a dress code for individual events. Guests are expected to appear in well-groomed and appropriate attire corresponding to the upscale character of the venue and the respective event.

For special events, club nights, After Show Parties or private events, stricter dress code rules may apply. Admission may be refused in the event of obvious non-compliance with a communicated dress code or attire grossly inconsistent with the occasion, provided that such refusal is objectively justified and legally permissible.

16. Vouchers

Vouchers issued by The Grand Pearl may be redeemed exclusively for services of The Grand Pearl unless expressly stated otherwise on the relevant voucher. Cash redemption, interest or payout of vouchers or remaining balances is excluded.

A voucher becomes valid only after full payment of the purchase price. Redemption is subject to availability, the prices, reservation conditions, age restrictions and these Terms applicable at the time of redemption.

Vouchers are valid from the date of purchase for the statutory validity period under Austrian law. The Grand Pearl guarantees redemption at the originally purchased price or for the originally purchased scope of services for a period of 12 months from the date of purchase, provided that the relevant service continues to be offered.

After expiry of 12 months from the date of purchase, the voucher remains valid in the amount originally paid. If the price of the relevant service has increased in the meantime, the guest shall pay the difference between the voucher value and the price applicable at the time of redemption.

Where date-specific services are booked with a voucher, the applicable cancellation and no-show terms shall apply to that booking. A voucher booking that is not cancelled in time or is not used may therefore result in the agreed cancellation fee being charged.

17. Private, Corporate and Special Events

For private events, corporate events, clubbings, press events, conferences, celebrations, product presentations and other special events, the respective offer, booking confirmation, event contract and any individually agreed cancellation, payment and performance conditions shall apply in addition.

The premises and areas shall be provided only to the extent expressly confirmed in writing. Changes of rooms or areas remain reserved where reasonable for the contractual partner, where they do not materially impair the character of the event and where justified by objective reasons, in particular disposition, safety, capacity or official requirements.

Without the prior written consent of The Grand Pearl, the contractual partner may not pass on, sublet, make available or otherwise grant rights to third parties in respect of all or part of the areas provided, nor may the areas be used for purposes other than those agreed.

The equipment, promotion, performance and overall character of the event must comply with the standard, reputation, safety requirements and operating concept of The Grand Pearl. The Grand Pearl may refuse, restrict, terminate or withdraw from events where the operation, safety, official requirements or reputation of The Grand Pearl may be jeopardised.

18. Number of Participants and Guaranteed Minimum Number for Events

For events involving food, beverages, staffing, technical or other planning effort, the final number of participants must be communicated by the deadline agreed in writing. The most recently confirmed number of participants shall constitute the guaranteed minimum number and shall form the basis for preparation and invoicing.

Additional guests, food, beverages, staff hours, technical services, security services, cleaning efforts or other additional services shall be charged separately. If no final number of participants is communicated, the originally agreed number of participants shall be deemed the guaranteed minimum number.

In the event of material changes in the number of participants, The Grand Pearl may reasonably adapt room planning, table layout, menu planning, service sequence, staffing and event areas.

19. Decoration, Setup, Technical Equipment and External Service Providers

Decorations, technical setups, stage constructions, furniture, external devices, advertising materials, branding, installations or other objects may be brought in, installed, connected or used only with the prior written consent of The Grand Pearl.

All objects, devices and installations must comply with applicable Austrian safety, fire protection, labour, trade and official regulations. Assembly, installation and technical work may be carried out only by qualified personnel and in coordination with The Grand Pearl.

The Grand Pearl may have unauthorised, unsafe, disruptive, unlawful or operationally impairing objects removed, deactivated or prohibited from use. All resulting costs shall be borne by the contractual partner.

External service providers, in particular technicians, artists, DJs, photographers, decorators, caterers, promoters or other partners of the contractual partner, may act only after prior coordination with The Grand Pearl and must comply with all house, safety and official requirements.

20. Deliveries, Storage and Items Brought In

Deliveries for events must be announced to The Grand Pearl in writing in good time and require confirmation. The Grand Pearl may specify delivery times and refuse insufficiently labelled, delayed, damaged, unannounced or fee-bearing deliveries.

Storage shall take place only by prior agreement and subject to available capacity. The Grand Pearl assumes no liability for completeness, damage, loss or theft of delivered, stored or brought-in items, unless mandatory legal liability applies.

The contractual partner shall remove all items brought in immediately after the end of the event. Items not removed in time may be stored, shipped, disposed of or handed over to a lost property office at the cost and risk of the contractual partner.

21. Advertising, Name, Logo and Public Communication

The use of the name, logo, image material, brand appearance, address or other identifiers of The Grand Pearl for advertising, invitations, printed materials, websites, social media, press work, media cooperation or any other public communication requires the prior written consent of The Grand Pearl.

This applies in particular to posters, programmes, flyers, newsletters, press releases, online advertising, event platforms, sponsor communication and social media campaigns. The Grand Pearl may prohibit, restrict or cancel an event already announced or advertised if the name or appearance of The Grand Pearl is used without consent or if the type of promotion may damage the reputation of The Grand Pearl.

22. Authorities, Permits, Music Rights and Legal Obligations

Unless expressly agreed otherwise in writing, the contractual partner is responsible for obtaining, in good time and at its own expense, all official permits, notifications, approvals, usage rights, music rights, collecting society fees, copyright clearances, tax or other statutory obligations required for its event and for providing evidence thereof to The Grand Pearl upon request.

The contractual partner shall indemnify and hold The Grand Pearl harmless against all claims, fines, administrative penalties, duties, fees, third-party claims, legal enforcement costs and other disadvantages arising from any breach of the above obligations.

Authorities, inspection bodies, security bodies and employees, agents or representatives of The Grand Pearl shall be entitled to enter the event areas at any time where necessary for inspection, safety, compliance with official requirements or safeguarding operations.

23. Technical and Operational Disruptions

The Grand Pearl shall not be liable for technical faults, interruptions or restrictions outside its culpable sphere of influence, including disruptions of internet, electricity, water, lighting, sound, technical systems, external service providers, network operators or measures ordered by public authorities.

Failure or restriction of Wi-Fi, internet connection, individual technical ancillary services or non-essential ancillary services shall not automatically entitle the contractual partner to a reduction in invoice, refund or damages, provided that the main service can essentially be performed.

24. Force Majeure and Unforeseeable Events

The Grand Pearl shall not be liable for disruptions, delays, restrictions, changes, postponements or cancellations caused by force majeure or other events beyond its reasonable control.

Force majeure or comparable unforeseeable events include official orders, security risks, major technical failures, power outages, natural events, extreme weather, strikes, illness or unavailability of essential artists or service providers, supply failures, pandemics, epidemics, closures, demonstrations, terror threats, war, unrest or other circumstances that render performance impossible, unreasonable or possible only in a materially altered form.

If an event or service cannot be performed, cannot be performed in full or cannot be performed as planned due to force majeure, cash refunds shall be excluded to the extent not prohibited by mandatory law. In such cases, The Grand Pearl may offer an appropriate alternative solution instead of a cash refund, in particular an alternative date, rebooking, credit note or voucher.

Costs already incurred, capacities reserved, services prepared, external service provider costs, staff planning, menu planning, technical and security costs and other expenses may be reasonably taken into account when determining the alternative solution. Claims for reimbursement of travel, hotel, transport, companion, consequential or other financial losses shall be excluded in cases of force majeure to the extent permitted by law.

25. Liability of The Grand Pearl

To the extent permitted by law, The Grand Pearl shall be liable only for damage caused intentionally or by gross negligence. Statutory provisions shall apply without restriction in the case of personal injury.

In relation to entrepreneurs, liability for slight negligence, indirect damage, consequential damage, loss of profit, immaterial damage, mere financial loss and damage arising from third-party claims is excluded unless mandatory law provides otherwise.

The Grand Pearl shall not be liable for loss, theft or damage to items brought in, cloakroom items, valuables, technical equipment, decorations, deliveries or other objects unless such items have been expressly accepted for safekeeping in writing or mandatory legal liability applies.

26. Liability of the Contractual Partner

The contractual partner shall be liable for all damage, losses, expenses and consequential damage caused by itself, its guests, employees, agents, service providers, artists, subcontractors, visitors or other persons attributable to it.

This includes damage to buildings, furnishings, technical equipment, inventory, decorations, floors, walls, sanitary facilities, safety equipment, outdoor areas and other property of The Grand Pearl or third parties.

The contractual partner is also liable for damage and costs arising from exceeding agreed guest numbers, unauthorised setups, improper use, breaches of safety regulations, official requirements or these Terms. For larger or higher-risk events, The Grand Pearl may require evidence of suitable event liability insurance.

27. Lost Property and Smoking

Items left behind shall be kept for a reasonable period where possible. Return shipment shall be made only upon request and at the cost and risk of the owner. Items without recognisable value or items not collected may, after expiry of a reasonable period, be disposed of or handed over to the competent lost property office.

Smoking is permitted within the building only in expressly designated areas, if any. In the event of breaches of smoking bans, cleaning, restoration, deployment, odour neutralisation, loss of use or other consequential costs may be charged, in particular where rooms, furniture, technical systems or event areas are impaired or blocked.

28. Rights of Withdrawal and Termination by The Grand Pearl

The Grand Pearl may cancel reservations, bookings or events, terminate performance or withdraw from the contract if due payments or deposits are not made in time, false or misleading information has been provided, the purpose of the event has been concealed or misrepresented, necessary approvals are missing, statutory or official requirements are breached, safety risks exist or the orderly operation or reputation of The Grand Pearl appears to be at risk.

Withdrawal or termination shall also be permissible where the event is unlawful, contrary to public morals, likely to endanger guests, employees, artists or third parties, or where force majeure or circumstances not attributable to The Grand Pearl render performance impossible or unreasonable.

In such cases, payment, cancellation, damages and reimbursement claims of The Grand Pearl shall remain reserved to the extent permitted by law.

29. Photo, Video and Audio Recordings

During events, photo, video and audio recordings may be made by The Grand Pearl, commissioned photographers, videographers, media partners or other service providers. Such recordings may be used, to the extent permitted by law, for documentation, marketing, social media, press, archive and communication purposes.

Guests who do not wish to be recorded are requested to inform the team on site in good time. Photo and video recordings by guests are permitted only insofar as they do not interfere with the event, the show, other guests, artists, employees or third-party rights.

Professional recordings, commercial productions, press recordings, live broadcasts, drone recordings or recordings using additional equipment require the prior written approval of The Grand Pearl.

30. Data Protection

Personal data shall be processed exclusively in accordance with applicable data protection law. The contractual partner acknowledges that data required for the handling of reservations, payments, events, communication, security measures, legal obligations and legitimate operational interests will be processed.

In the case of group, corporate or agency bookings, the contractual partner shall ensure that the persons concerned are informed about any transfer of their data to The Grand Pearl and about the processing in connection with the booked service.

31. Set-Off, Retention and Transfer of Rights

The contractual partner may set off counterclaims only if such claims have been finally adjudicated, acknowledged by The Grand Pearl, are undisputed or are legally and directly connected with the relevant claim.

Any paid or unpaid transfer, assignment, sale, resale or commercial use of reservations, bookings, vouchers, event rights or other claims requires the prior written consent of The Grand Pearl, unless mandatory statutory provisions provide otherwise.

32. Contract Language, Written Form and Ancillary Agreements

The contract language is German. Where information, confirmations or Terms are provided in other languages, this is for convenience only; in the event of inconsistencies, questions of interpretation or ambiguity, the German version shall prevail to the extent permitted by law.

Amendments, supplements, special agreements and ancillary arrangements require written confirmation by The Grand Pearl. Oral undertakings are binding only if confirmed in writing. Electronic communication by email, booking system or payment link shall be deemed written form for the purposes of these Terms.

33. Complaints and Dispute Resolution

The Grand Pearl endeavours to handle concerns, objections and complaints promptly, objectively and in a solution-oriented manner. The contractual partner is requested to notify any complaints, where possible, immediately on site or promptly in writing so that they can be reviewed and, where appropriate, remedied.

Consumers may, where provided by law, contact the competent bodies or platforms for alternative dispute resolution. The Grand Pearl shall be obliged to participate in such proceedings only where required by law or expressly declared.

34. Applicable Law, Place of Jurisdiction and Severability

Austrian law shall apply, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods, insofar as its application is not already excluded by subject matter. The place of performance and payment shall be Vienna.

To the extent legally permissible, the place of jurisdiction shall be the competent court in Vienna. Statutory places of jurisdiction shall apply for consumers.

If individual provisions of these Terms are or become invalid, unenforceable or incomplete in whole or in part, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by a legally permissible provision that comes as close as possible to the economic purpose of the original provision.
